General Terms and Conditions

Version: 28 October 2026ROLLO SOLAR® Melichar GmbHBad Tölz
01

Scope of application, defence clause and severability clause

Scope of the GTC

These General Terms and Conditions (GTC) apply to all business relationships, sales and other legal transactions between ROLLO SOLAR® Melichar GmbH (hereinafter: ‘the Contractor’) and its customers (hereinafter: ‘the Customer’). Any terms and conditions of the Customer that conflict with or deviate from these GTC shall not be recognised, unless the Contractor has expressly agreed to their validity in writing. This shall also apply where the Customer refers to its own terms and conditions.

Deviating terms and conditions and agreements

Any deviating agreements, additions or verbal or telephone arrangements shall only be binding if they have been expressly confirmed in writing by the Contractor. Until then, the original order shall remain in force unchanged.

Incorporation and amendments to the GTC

The GTC in force at the time of the conclusion of the contract shall form an integral part of the contract by virtue of reference in all contractual documents – including offers, order confirmations or other agreements. Any amendments or additions to the GTC shall apply exclusively to future business relationships.

The Contractor reserves the right to amend or supplement these GTC at any time. The Customer shall be notified of any amendments or additions to these GTC in text form (e.g. by email or letter) at least four (4) weeks before they come into effect. The Customer is expressly advised that these amendments shall take effect unless the Customer objects to them within a reasonable period. If no written objection is received within the specified period, the amendments shall be deemed to have been accepted. Should the Customer object, the Contractor reserves the right to terminate the contract extraordinarily with four (4) weeks’ notice to the end of the month.

Furthermore, amendments to the GTC shall be deemed to have been approved if the Customer actively consents to the amendments or implicitly accepts the amended GTC by continuing to use the Contractor’s services.

These General Terms and Conditions shall also apply to all future business relationships without the need for them to be expressly incorporated again.

Invalidity of individual provisions

Should any provision of these GTC be or become invalid, this shall not affect the validity of the remaining provisions. The invalid provision shall be replaced by a valid provision that comes as close as possible to the economic purpose of the invalid provision.

02

Offers and fixed prices

Binding nature of offers

Offers from ROLLO SOLAR® Melichar GmbH are subject to change and non-binding. The prices stated in the offers are valid for a period of three (3) months from the date of the offer. Upon expiry of this period, the Contractor is entitled to adjust the prices. Price adjustments shall only be made in the event of a significant change in market conditions, e.g. due to increases in raw material prices of at least 10 per cent compared with the time the quotation was issued. The Customer shall be informed of such changes in good time. In the event of a price adjustment, the Customer is entitled to withdraw from the contract within seven (7) working days, provided that the adjustment exceeds 15 per cent of the original price.

Billing and price adjustments

The prices valid on the day of delivery shall be decisive for invoicing. These may be subject to any price and administrative surcharges, as well as price increases and tax increases that are passable on, whether imposed by the authorities or for economic reasons.

The Customer’s obligations to carry out checks

The Customer is obliged to check the technical and commercial details contained in offers immediately to ensure they are complete and accurate. Any defects or discrepancies must be reported in writing within seven (7) days of receipt of the offer. In the absence of such notification, the data set out in the offer shall be deemed to have been confirmed by the Customer.

Technical data and documentation

All prices are net, i.e. excluding VAT, and are ex works, excluding packaging, unless otherwise stated on the quotation sheets.

ROLLO SOLAR® Melichar GmbH provides recommendations on the installation and use of the systems and technical equipment to the best of its knowledge and based on its relevant experience. These recommendations are made without obligation and do not give rise to any liability.

Data relating to supplies and services, such as illustrations, drawings, brochures or technical specifications (e.g. regarding performance, dimensions or weight), are merely approximate values and are not legally binding. Models and drawings remain the property of ROLLO SOLAR® Melichar GmbH and may not be reproduced or made available to third parties without the Contractor’s express written consent.

Quality and material testing

If the customer requests specific quality or material tests, these requirements must be set out and agreed in writing. Any additional costs arising from such tests will be charged separately and shall be borne by the customer.

03

Acceptance of orders and conclusion of the contract

Acceptance and Validity of Orders

An order shall only be deemed to have been accepted in a legally binding manner if it is confirmed in writing by ROLLO SOLAR® Melichar GmbH or acknowledged by the prompt delivery or performance of the service. Verbal commitments or amendments are invalid without written confirmation. Any objections to order confirmations must be raised in writing and in detail without delay, and at the latest within two (2) working days of receipt of the confirmation. If no objection is raised within this time limit, the confirmations shall be deemed to have been accepted in full by the Customer.

Rejection of orders

The Contractor reserves the right to reject orders without giving reasons. In the event of rejection, the Customer will be informed immediately. In such cases, any payments already made will be refunded within five (5) working days.

Price changes prior to delivery

ROLLO SOLAR® Melichar GmbH is entitled to make price adjustments if costs change significantly between the submission of the quotation and delivery as a result of changes in material prices, wage adjustments or official regulations. The customer shall be notified in writing at least four (4) weeks before such a price adjustment comes into effect. If the customer does not object within seven (7) working days of receiving the notification, the adjustment shall be deemed to have been accepted. An objection entitles ROLLO SOLAR® Melichar GmbH to withdraw from the contract.

Delays in delivery, call-off orders and cancellation fees

All orders placed with ROLLO SOLAR® Melichar GmbH are manufactured on a made-to-order basis. As a rule, it is not possible to reuse or resell the manufactured products. Orders placed on a call-off basis or with a later delivery date must be called off and accepted in full within six (6) months, but no later than twelve (12) months after the order was placed. An extension of this period is only permitted with the prior written consent of ROLLO SOLAR® Melichar GmbH. If no call-off or acceptance takes place within this period, the Customer is obliged either to accept the outstanding delivery or service in full or to pay a cancellation fee amounting to at least 25 per cent of the total order value. This cancellation fee serves to reimburse costs already incurred, in particular those relating to work preparation, materials planning, order-specific production and warehousing, and is claimed as lump-sum compensation. Upon payment of the cancellation fee, the order shall be deemed cancelled without the need for any further notice from ROLLO SOLAR® Melichar GmbH.

Correcting errors

ROLLO SOLAR® Melichar GmbH reserves the right to correct any errors, typographical errors or calculation errors in offers, order confirmations or invoices and, where necessary, to charge the Customer accordingly. The Customer shall have no claim to compensation or special terms and conditions on the basis of such errors.

04

Delivery, partial deliveries and obligations to accept delivery

Delivery and transfer of risk

Shipping is at the customer’s expense and risk, with the risk passing to the customer upon handover of the goods to the transport company. This also applies where ROLLO SOLAR® Melichar GmbH has borne the shipping costs and delivery charges, unless the transaction constitutes a consumer transaction within the meaning of Section 13 of the German Civil Code (BGB). Where transport insurance is taken out, the cost thereof shall be borne by the Customer. ROLLO SOLAR® Melichar GmbH expressly does not guarantee full cover for damage, unless the transaction is a consumer transaction.

partial deliveries

Partial deliveries are permitted; they shall be regarded as separate deliveries which may be invoiced individually. The Customer is obliged to accept partial deliveries, provided that these fulfil the agreed contents of the package in stages. Delays in a partial delivery do not entitle the customer to withdraw from the contract as a whole. If the customer is in default of acceptance of a partial delivery, the Contractor is entitled to withhold further deliveries or to withdraw from the contract. ROLLO SOLAR® Melichar GmbH and its subcontractors can only meet a delivery deadline provided that operations proceed without disruption, the necessary raw materials and components are supplied on time, and the Customer fulfils the agreed payments and other obligations within the stipulated time limits.

Delivery times

Delivery times shall only be deemed binding if they have been expressly confirmed in writing by ROLLO SOLAR® Melichar GmbH. Otherwise, the date stated in the order confirmation is for guidance only. Delays due to force majeure or other circumstances beyond the Contractor’s control, such as natural disasters, pandemics, strikes or official orders, shall result in a reasonable extension of the delivery period. Should delivery be impossible for a period of more than two (2) months due to such circumstances, both contracting parties shall be entitled to withdraw from the contract.

Withdrawal and costs in the event of cancellation

Notwithstanding the provisions relating to call-off orders and cancellation fees, the following applies: The customer may only cancel orders that have been firmly placed with the express written consent of ROLLO SOLAR® Melichar GmbH. In such cases, the customer is obliged to pay a lump-sum compensation amounting to at least 25 per cent of the total order value as compensation for costs already incurred – in particular for work planning, materials planning, production preparation and administration. As all orders at ROLLO SOLAR® Melichar GmbH are manufactured on a made-to-order basis, the Customer may not, as a general rule, withdraw from the contract after its conclusion, unless ROLLO SOLAR® Melichar GmbH expressly agrees to this in writing.

The Customer’s obligations to carry out checks

The customer is obliged to check the drawings, dimensions and designs (e.g. cladding, roller shutters, etc.) submitted to them immediately to ensure they are correct and complete. Any complaints or incorrect details must be reported in writing without delay. Should the customer fail to provide such notification, they shall bear the resulting costs or be responsible for the unsuitability of the manufactured product. Any alterations or adjustments to products already manufactured as a result of errors caused by the customer shall be invoiced separately.

Notification of completion and invoicing

As all systems are manufactured to order, ROLLO SOLAR® Melichar GmbH is entitled to invoice the goods upon notification of completion (notification that the goods are ready for dispatch or collection). The agreed payment term runs from the invoice date, irrespective of the actual date of delivery or collection. If the customer fails to take delivery of the goods within two (2) weeks of receiving the notification of completion, they shall be in default of acceptance; the risk of accidental loss and accidental deterioration shall thereby pass to them, and the following provisions regarding storage costs and realisation shall apply. This paragraph does not apply to consumers within the meaning of Section 13 of the German Civil Code (BGB).

Storage costs and realisation of the goods in the event of non-acceptance

Should the customer fail to take delivery of the goods within two (2) weeks of receipt of the notification of completion or of the agreed delivery or collection date, ROLLO SOLAR® Melichar GmbH shall be entitled to charge storage costs of at least 10 euros per day. These costs shall be borne by the customer without deduction and must be settled immediately upon invoicing. After 30 days have elapsed from receipt of the notification of completion or from the agreed delivery or collection date, ROLLO SOLAR® Melichar GmbH is entitled to dispose of or sell the goods elsewhere at the customer’s expense and risk. The customer remains obliged to pay the costs incurred.

Checking the delivery

The customers must check that the delivery is complete immediately upon receipt of the goods. Any discrepancies must be reported to ROLLO SOLAR® Melichar GmbH in writing within three (3) days and documented with clear photographs. Complaints received after this deadline cannot be considered. In the event of damage caused during transport, the customer is obliged to draw up a report of the facts without delay and to submit this to ROLLO SOLAR® Melichar GmbH. The risk of damage in transit is borne by the customers, unless the transaction is a consumer transaction or transport insurance has been expressly taken out by ROLLO SOLAR® Melichar GmbH.

The customer’s responsibilities upon delivery

The customers are responsible for ensuring that all the necessary conditions are in place for the smooth unloading and delivery of the goods. This includes, in particular, the provision of suitable unloading equipment, such as forklift trucks or cranes, as well as qualified personnel. The customer must ensure that the delivery point is freely accessible and that all necessary official permits are in place. Any damage or additional costs arising from inadequate preparation on the part of the customer shall be borne in full by the customer.

05

Installation work and additional services

Scope of the work

All work shall be carried out and invoiced in accordance with the fixed prices set out in the offer, taking into account the scope of work and contents of the package specified therein. Any additional services not included in the original offer shall be invoiced on a time and materials basis.

Additional costs in the event of rescheduling, cancellation or delay

If a bindingly agreed appointment cannot be carried out as agreed for reasons for which the Customer is responsible, the Contractor shall be entitled to charge for the costs incurred as a result, including waiting time, additional working hours, travel costs to and from the appointment, and any other additional costs. If an appointment is not attended without timely notice, or is cancelled or rescheduled less than five working days before the appointment, additional cancellation and standby costs may be charged. The Customer reserves the right to prove that no damage, or only minor damage, has been incurred.

Written consent for changes

If the customer requires the installers to carry out additional work or make alterations, these must first be confirmed in writing by the customer to ROLLO SOLAR® Melichar GmbH and approved in writing by the Contractor. Such work will be invoiced separately and must be reimbursed by the customer. Installers may only carry out such work after express authorisation has been granted by ROLLO SOLAR® Melichar GmbH.

Disclaimer regarding unauthorised work

The Contractor accepts no liability or statutory warranty whatsoever for any work carried out by its installers at the Customer’s express request and without prior written authorisation from ROLLO SOLAR® Melichar GmbH, neither for the performance of such work nor for any consequences arising therefrom.

Calculation of alterations and repairs

Modifications and repair work will be charged solely on the basis of the materials actually used, the actual labour time, the relevant travel time and the relevant travel expenses.

Provision of resources by the customer

In order to carry out a contract, the customer must provide electricity and water free of charge at the start of the work. Should the customer fail to fulfil these requirements, they shall be liable for any resulting delays or additional costs. It is hereby agreed that the Contractor may, without the Customer’s specific consent, have parts of the work carried out by subcontractors, provided this is necessary for the fulfilment of the contract.

Billing for additional services

All services and installation work not included in the flat-rate prices set out in the offer shall be invoiced in accordance with the Contractor’s currently applicable unit rates. The Customer may request these unit rates from the Contractor at any time. If, at the Customer’s request, the work is carried out outside normal working hours, a special charge will be applied in accordance with the applicable unit rates.

Specific requirements and certifications

Furthermore, any specific safety requirements or certifications that the Customer requires of the installers must be agreed in writing in advance and confirmed by both parties. The costs of meeting such requirements shall be borne by the Customer.

06

Statutory Warranty and Guarantee Terms and Conditions

Statutory warranty and voluntary manufacturer's warranty

ROLLO SOLAR® Melichar GmbH is liable for defects in the goods supplied and in the installation work in accordance with the statutory warranty provisions. The statutory warranty period for installation work is two (2) years from the date of the transfer of risk.

In addition to the statutory warranty, ROLLO SOLAR® Melichar GmbH grants customers who are entrepreneurs within the meaning of Section 14 of the German Civil Code (BGB), in particular specialist partners, a voluntary manufacturer's warranty on its products in accordance with the Warranty Terms and Conditions, which are available at rollo-solar.de/en/warranty-terms and which, in the version valid at the time the contract is concluded (date and version number as stated on the document), form an integral part of these General Terms and Conditions. The Warranty Terms and Conditions govern the warranty provider, the warranty beneficiary, and the duration, nature, scope and exclusions of the warranty. The customer's statutory warranty rights are not restricted by this manufacturer's warranty.

Consumers within the meaning of Section 13 of the German Civil Code (BGB) are not warranty beneficiaries under this manufacturer's warranty. Their statutory warranty rights against their respective seller remain unaffected.

Notification of defects

Notices of defects must be submitted in writing and in detail to ROLLO SOLAR® Melichar GmbH without delay, but no later than seven (7) calendar days after the goods have arrived at their destination. The time limit for reporting defects applies only to customers who are traders within the meaning of the German Commercial Code (HGB). Consumers may claim for defects under their statutory warranty rights. The notice of defects must be documented with clear photographs. Complaints received after this period cannot be considered.

Repair or replacement

Parts which are proven to have become unusable or to have had their usability significantly impaired within six (6) months after the transfer of risk, or where their usability has been significantly impaired, shall, at the discretion of ROLLO SOLAR® Melichar GmbH, either be repaired at the place of use or replaced free of charge ex works. Replaced parts shall become the property of ROLLO SOLAR® Melichar GmbH.

Exclusions from liability for defects

The statutory warranty shall not apply if the defect is attributable to improper use, lack of maintenance, incorrect installation by the customer, unauthorised modifications to the goods supplied, or other acts or omissions on the part of the customer that are not in accordance with the contract. Similarly, ROLLO SOLAR® Melichar GmbH accepts no liability for defects arising from the improper use of the goods. The Contractor’s liability shall not apply if the goods supplied are combined with or modified by the Customer using third-party components that have not been approved.

Limitation of liability

The Contractor’s liability is limited to cases of wilful misconduct and gross negligence. This does not apply to damage resulting from injury to life, limb or health, or to claims under the Product Liability Act. In the event of a breach of material contractual obligations (cardinal obligations), liability is limited to the typically foreseeable damage.

Rectification work and spare parts

The statutory warranty also applies accordingly to rectification work and spare parts. However, the original warranty period will not be extended. In the event of installation errors caused by an installer employed by ROLLO SOLAR® Melichar GmbH, liability is limited exclusively to the rectification of the fault through proper rectification.

Specific exclusions

ROLLO SOLAR® Melichar GmbH accepts no statutory warranty for damaged tiles on tiled surfaces.

The rectification of defects may be refused as long as the customer fails to fulfil their contractual obligations, in particular their payment obligations. Any additional costs arising from work necessitated by repair attempts undertaken by the Customer or by third parties commissioned by the Customer shall be borne by the Customer. If any intervention is carried out on an item without the prior written consent of ROLLO SOLAR® Melichar GmbH, the statutory warranty or warranty shall lapse with immediate effect.

Goods that are expressly sold as being of inferior quality, second-hand or refurbished are excluded from the statutory warranty or warranty.

07

Disclaimer and Liability for Third Parties

Exclusion of Liability

ROLLO SOLAR® Melichar GmbH accepts no liability for damage caused by force majeure, the fault of third parties or other events beyond the reasonable control of ROLLO SOLAR® Melichar GmbH. These include, in particular, natural disasters, strikes, official orders, pandemics or other unforeseeable and unavoidable circumstances.

Limitation of liability

Indirect losses, consequential losses or loss of profit suffered by the Customer are excluded from liability, unless such losses result from a breach of duty committed with intent or through gross negligence on the part of ROLLO SOLAR® Melichar GmbH. Liability for simple negligence is excluded, unless it relates to injury to life, limb or health, or to material contractual obligations (cardinal obligations). In such cases, liability is limited to the typically foreseeable damage.

Liability for the acts of third parties

ROLLO SOLAR® Melichar GmbH accepts no liability for the actions of third parties, including, but not limited to, subcontractors, partner companies or other service providers. This exclusion of liability shall not apply where third parties act on the express instructions of ROLLO SOLAR® Melichar GmbH and their actions are based on wilful misconduct or gross negligence.

Statutory claims that remain unaffected

This disclaimer applies to all claims, irrespective of whether they are based on contractual, tortious or other legal grounds, including claims arising from tort or product liability, to the extent permitted by law. This shall not affect claims arising from product liability or in the event of injury to life, limb or health resulting from a negligent breach of duty by ROLLO SOLAR® Melichar GmbH.

08

Retention of title and security interests

retention of title

The goods shall remain the property of ROLLO SOLAR® Melichar GmbH until all claims against the Customer arising from the business relationship, including ancillary claims, claims for damages and the honouring of cheques or bills of exchange, have been settled in full.

Restrictions on orders

Until the Customer has fully discharged its obligations, it is not entitled to pledge the goods, assign them as security or otherwise dispose of them in any way that might prejudice the rights of ROLLO SOLAR® Melichar GmbH. In the event of attachment or other intervention by third parties, the Customer must notify ROLLO SOLAR® Melichar GmbH immediately in writing and provide all necessary documents to safeguard the rights of ROLLO SOLAR® Melichar GmbH. The costs of any necessary judicial or extrajudicial intervention shall be borne by the customer, unless these can be recovered from the opposing party.

Resale of goods subject to retention of title

The Customer is only permitted to resell the goods subject to retention of title in the ordinary course of business and on condition that the Customer receives payment from its customers or agrees retention of title with its customers. The customer hereby assigns to ROLLO SOLAR® Melichar GmbH all claims arising from the resale of the goods. ROLLO SOLAR® Melichar GmbH accepts this assignment. In the case of consumers, the assignment of claims arising from resale shall be expressly disclosed to the consumer. The Customer remains entitled, until further notice, to collect these claims in the ordinary course of business.

Direct invoicing to third parties

If, at the Customer’s request, an invoice is issued directly to the Customer’s principal, the Customer shall assume full liability for the payment of the claim.

09

Terms of payment and rights of withdrawal

Payment terms

Unless otherwise agreed in writing, payments are to be made without deduction within fourteen (14) days of the invoice date. Payment may not be made conditional upon the commissioning of a system or the full provision of services. Invoices for repairs and after-sales service must be settled in full immediately upon receipt. Objections to invoices may only be raised in writing within one week of receipt. Objections do not entitle the customer to defer payment.

Set-off and retention

The customer may only make a set-off with such counter-claims as are undisputed, have been established by a final and binding judgement, or are ready for a decision to be made.

The customer is only entitled to a right of retention in so far as their counter-claim arises from the same contractual relationship and the aforementioned conditions are met.

This also applies in the event of warranty claims being made.

Default interest and measures in the event of default in payment

If payments are deferred or made later than agreed, default interest shall be charged at a rate of nine (9) percentage points above the relevant base interest rate in accordance with Section 288 para. 2 of the German Civil Code (BGB); in the case of consumers within the meaning of Section 13 of the German Civil Code (BGB), at a rate of five (5) percentage points in accordance with Section 288 para. 1 of the German Civil Code (BGB). No separate notice of default is required.

In the event of non-compliance with the terms of payment, all outstanding amounts shall become due immediately. ROLLO SOLAR® Melichar GmbH is entitled to charge reminder fees, the amount of which shall be based on the usual commercial costs. If payment is not made even after repeated reminders, the claim will be referred to a debt collection agency, such as Creditreform, for enforcement. The costs incurred as a result shall be borne by the Customer.

The contractor’s right of withdrawal

The contractor is entitled to withdraw from the contract if the customer fails to fulfil their payment obligation despite having been reminded to do so. In this case, the contractor is entitled to dispose of the goods elsewhere and to charge the customer for all costs incurred as a result.

Partial payments and payments on account

In the case of individual deliveries or services carried out as part of the progress of the construction work, payments on account amounting to 90 per cent of the value of the deliveries and services actually provided shall be made within eight (8) days of being requested to do so. The final invoice for the remaining 10 per cent must be settled immediately upon receipt, without any deductions.

10

Invoicing and communication

Method of invoice delivery

ROLLO SOLAR® Melichar GmbH reserves the right to issue invoices for the agreed services electronically via email in PDF format or by post. Electronic invoices will be sent to the email address last provided by the customer.

Obligation to update contact and company details

The customer is obliged to notify ROLLO SOLAR® Melichar GmbH immediately, in writing and in a legally valid manner, of any changes to their email address, postal address, company details such as name, legal form or company registration number, VAT registration number (VAT No.) and any other relevant information required for proper invoicing or the business relationship. Failure to provide such notification in good time shall release ROLLO SOLAR® Melichar GmbH from any liability for delays or any resulting disadvantages. Invoices or other business communications sent to the customer’s last known email address or postal address shall be deemed to have been delivered, even if the updated details were not provided in good time.

Ensuring reception

The customers must ensure that all electronic copies of the invoice can be received correctly. This includes adjusting technical settings such as spam filters or email servers so that delivery is not blocked. Automated electronic replies, such as out-of-office messages, are not recognised as confirmation of receipt and do not prevent legally valid delivery.

Subsequent change to the invoice recipient

It is not possible to change the invoice recipient at a later date. The customer is responsible for ensuring that the billing details provided initially are correct and complete. Any changes or discrepancies must be notified to ROLLO SOLAR® Melichar GmbH immediately and before the invoice is issued.

11

Data protection and the processing of personal data

Applicable data protection regulations

All matters relating to data protection, in particular the collection, processing and use of personal data, are governed by the data protection policy of ROLLO SOLAR® Melichar GmbH, which is available at rollo-solar.de/en/privacy-policy.

Data processing for specific purposes

ROLLO SOLAR® Melichar GmbH processes personal data exclusively in accordance with the applicable data protection legislation, in particular the General Data Protection Regulation (GDPR) and the Federal Data Protection Act (BDSG). Personal data is collected and processed only to the extent necessary to fulfil contractual or statutory obligations, or on the basis of the customer’s express consent.

Rights of data subjects

For further information, in particular regarding the data subject’s rights to access, rectification, erasure, restriction of processing, data portability and objection, please refer to the full privacy policy. Enquiries regarding data protection may be made at any time via the contact address given in the legal notice or via the data protection email address.

12

Copyright and restrictions on use

Intellectual property protection

All technical drawings, installation instructions, design plans, images and other documents produced by ROLLO SOLAR® Melichar GmbH are protected by copyright and are the intellectual property of ROLLO SOLAR® Melichar GmbH or its licensors. Without the express written permission of ROLLO SOLAR® Melichar GmbH, it is prohibited to reproduce, modify or distribute these documents, in whole or in part, or to use them for commercial or other unauthorised purposes.

Consequences of unauthorised use

Any unauthorised use, reproduction, modification or distribution constitutes a breach of copyright and may result in civil and criminal penalties. This applies regardless of whether the use is for private or commercial purposes.

Restricted rights of use

ROLLO SOLAR® Melichar GmbH grants its customers and contractual partners only limited rights of use in respect of the documents provided, provided that this has been expressly agreed in the contract. Any use beyond the contractually agreed purpose is prohibited without the prior written consent of ROLLO SOLAR® Melichar GmbH.

Protective measures

In order to protect our intellectual property, we reserve the right to take legal action in the event of any infringement of copyright or rights of use, including seeking injunctions and claiming damages.

13

Place of performance, place of jurisdiction and applicable law

place of jurisdiction

The place of performance for all deliveries and payments, and the exclusive place of jurisdiction for all disputes arising out of or in connection with this contract, including those arising from the acceptance of bills of exchange, shall be Bad Tölz, provided that the customer is a trader, a legal person governed by public law or a special fund governed by public law. For non-traders, the statutory provisions on jurisdiction shall apply.

Applicable law

The application of the UN Convention on Contracts for the International Sale of Goods (CISG) is expressly excluded. The law of the Federal Republic of Germany shall apply exclusively, unless mandatory provisions of private international law provide otherwise. For consumers, this choice of law shall apply only to the extent that it does not restrict any mandatory consumer protection provisions of the country in which the consumer has their habitual residence.
